STANDARD TERMS AND CONDITIONS OF SALE

1. General Provisions

The client explicitly waives the right to apply their own terms and conditions unless otherwise agreed upon in advance and in writing 
with Richco Group (Thailand) Co., Ltd. (Head Office). Any modifications or exceptions must be confirmed in writing beforehand.

2. Payment Terms
2.1 Invoices must be paid within 21 working days unless a different payment term is specified in the invoice or purchase order.
2.2 In the event of late payment, the company reserves the right to charge interest at a fixed rate of 10% per annum on the outstanding balance until full payment is made.
2.3 If payment remains outstanding for more than 60 days after the due date, the company reserves the right to engage a debt recovery agency. All costs incurred in the recovery process will be borne by the client.

3. Withholding Tax
3.1 If withholding tax is applicable under the laws of the client’s country, the client shall be responsible for remitting the tax to the relevant tax authorities.
3.2 The company shall not bear any costs or expenses arising from the client’s local tax laws. The client shall ensure the full invoice amount is paid to the company without deductions.

4. Provision of Services
4.1 The company will make its best effort to provide goods and services in accordance with the agreed timeframes.
4.2 However, all obligations shall be considered "best effort" commitments and not obligations to achieve specific results.
4.3 The company shall not be held liable as a third party in any claims for damages filed against the client by their customers or end-users.

5. Claims and Disputes
5.1 Any claims or disputes regarding the goods or services must be submitted to the company in writing via registered mail to the company’s registered address within 8 days of receiving the goods or services.
5.2 Failure to notify the company within the specified period will result in the client being deemed to have accepted the goods and services without objection.

6. Governing Law
All agreements and terms with the company shall be governed exclusively by the laws of the Kingdom of Thailand.

7. Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution through negotiation. If an agreement cannot be reached, the dispute shall be submitted to the competent courts in Thailand.
